These Terms of Service constitute a legally binding agreement between you ("you") and The ABA Collective, LLC d/b/a CEULab ("Company," "we," "us," or "our"), concerning your access to and use of ceulab.com and any related media or channels (collectively, the "Site"). The Site provides an online marketplace for video-based continuing education units (CEUs) certified by the BACB (the "Marketplace Offerings").
By accessing the Site, you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE, YOU ARE PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right to update these Terms at any time by updating the "Last updated" date above. Continued use of the Site constitutes acceptance of any revised Terms. The Site is intended for users who are at least 18 years old.
Unless otherwise indicated, the Site and all Content — including source code, software, designs, audio, video, text, and graphics — and all Marks are owned or controlled by The ABA Collective, LLC and protected by U.S. and international intellectual property laws.
You are granted a limited license to access and use the Site and download or print Content solely for your personal, non-commercial use. No Content may be copied, reproduced, sold, or exploited for commercial purposes without our express prior written permission.
By using the Site, you represent and warrant that: all registration information you submit is true, accurate, and complete; you have the legal capacity to agree to these Terms; you are not a minor in your jurisdiction; you will not access the Site through automated or non-human means; and your use will not violate any applicable law or regulation.
If any information you provide is untrue or incomplete, we have the right to suspend or terminate your account and refuse future use of the Site.
You may be required to register to access Marketplace Offerings. You agree to keep your password confidential and are responsible for all activity under your account. We reserve the right to remove usernames that are inappropriate or objectionable.
All Marketplace Offerings are subject to availability. We reserve the right to limit quantities, change pricing, and discontinue any Marketplace Offering at any time without notice. We are a service provider and make no representations as to the accuracy, adequacy, or legality of content offered through the Site. You agree to hold us harmless from any errors, omissions, or misrepresentations in that content.
We accept Visa, Mastercard, American Express, and Discover. You agree to provide current, complete, and accurate payment information. All payments are in U.S. dollars. We reserve the right to correct pricing errors and to refuse or cancel any order at our sole discretion.
All sales are final. No refunds will be issued once a course has been accessed. If a learner initiates a chargeback for services that were rendered, the user will be permanently banned from the platform.
You agree not to: systematically retrieve data to create databases without permission; make unauthorized use of Marketplace Offerings; circumvent or disable security features; engage in unauthorized linking to the Site; trick, defraud, or mislead us or other users; use automated systems or scrapers; interfere with or disrupt the Site; impersonate another user; use the Site to harass or harm another person; reverse engineer any Site software; upload viruses or malicious material; disparage or harm us or the Site; or use the Site inconsistently with any applicable law or regulation.
The Site may allow you to submit content including text, video, audio, and comments ("Contributions"). By submitting Contributions, you represent that: your Contributions do not infringe any third party's intellectual property; you own or have the necessary rights to submit them; your Contributions are not false, misleading, obscene, or otherwise objectionable; and they do not violate any applicable law or any person's privacy or publicity rights.
By posting Contributions, you grant us a non-exclusive, worldwide, royalty-free license to host, use, reproduce, and display such Contributions for purposes of operating and promoting the Site. You retain full ownership of your Contributions. We are not liable for any statements or representations in your Contributions. We reserve the right to edit, re-categorize, or remove any Contributions at any time without notice.
Reviews must reflect firsthand experience; must not use offensive, discriminatory, or false language; and must not be part of organized review campaigns. We may accept, reject, or remove reviews in our sole discretion.
We reserve the right to monitor the Site for violations; take legal action against anyone who violates these Terms; remove or disable content that is excessive or in violation of these Terms; and otherwise manage the Site to protect our rights and property.
By using the Site, you agree to be bound by our Privacy Policy. The Site is hosted in the United States. If you access the Site from outside the U.S., you consent to your data being transferred to and processed in the United States. We do not knowingly collect information from anyone under 13.

THESE TERMS SHALL REMAIN IN FULL FORCE AND EFFECT WHILE YOU USE THE SITE. WE RESERVE THE RIGHT TO DENY ACCESS, SUSPEND, OR TERMINATE YOUR ACCOUNT AT ANY TIME, WITHOUT NOTICE OR LIABILITY, FOR ANY REASON INCLUDING BREACH OF THESE TERMS. IF YOUR ACCOUNT IS TERMINATED, YOU ARE PROHIBITED FROM CREATING A NEW ACCOUNT WITHOUT OUR WRITTEN PERMISSION.
We reserve the right to change, modify, or remove Site content at any time without notice. We may also modify or discontinue Marketplace Offerings without liability. We do not guarantee the Site will be available at all times and are not liable for any downtime, interruptions, or errors.
These Terms and your use of the Site are governed by the laws of the State of Utah, without regard to conflict of law principles.
Any legal action arising from these Terms shall be commenced in the state or federal courts located in Utah, and both parties consent to personal jurisdiction in such courts. No claim may be brought more than two (2) years after the cause of action arose.
THE SITE AND MARKETPLACE OFFERINGS ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR ERRORS, INACCURACIES, PERSONAL INJURY, UNAUTHORIZED ACCESS, OR ANY LOSS ARISING FROM USE OF THE SITE OR MARKETPLACE OFFERINGS.
IN NO EVENT WILL THE ABA COLLECTIVE, LLC OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CAUSE OF ACTION.
You agree to defend, indemnify, and hold harmless The ABA Collective, LLC and its officers, agents, partners, and employees from any loss, damage, liability, or claim arising from: your Contributions; your use of the Marketplace Offerings; your breach of these Terms; your violation of any third party's rights; or any harmful act toward another user.
Visiting the Site, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communication be in writing.
These Terms constitute the entire agreement between you and us regarding the Site. If any provision is found unlawful or unenforceable, it shall be severed and the remaining provisions shall remain in full force. There is no joint venture, partnership, employment, or agency relationship created by these Terms.
